Frequently asked questions
Straight answers about board evaluations, board and committee support, annual reports, SMME governance and our training.
What is a board evaluation?
A structured review of how well a board and its structures work: the board as a whole, its committees, individual directors, the chairperson and the company secretary. It gives the board an honest picture of its strengths and the areas it needs to improve, with practical recommendations.
How often should a board be evaluated?
The King Code recommends that boards regularly and formally evaluate their own performance and that of their committees, chair and members, and many boards do so every year or every second year. Public entities may also face requirements from their shareholder or executive authority, so check your charter and shareholder compact.
How long does a board evaluation take?
A full evaluation typically runs over six to seven weeks: scoping, document review, questionnaires, interviews, reports and a results presentation. Dates are agreed with the Chairperson at the start.
Is the evaluation confidential?
Yes. Questionnaire responses and interviews are confidential and reports are anonymised. Individual peer evaluation reports are shared only with the director concerned.
Do you help with board committees and work plans?
Yes. We help boards decide which committees they need, draft or review terms of reference, and prepare annual board and committee work plans, meeting calendars and agendas that cover every statutory and reporting duty across the year.
Can you help with our annual report?
Yes. We draft or review the corporate governance report, prepare King V disclosures, help committee chairpersons with their reports, and coordinate and edit the governance content of the annual report. Financial statements remain with your finance team and auditors.
What does governance mean for a small business?
How decisions are made, who is accountable for them and how the business stays on the right side of the law. For a small business that usually means clear roles for owners and directors, a few core policies, proper records of decisions and up-to-date statutory filings.
Does my SMME need a board?
A private company needs at least one director, but many growing businesses benefit from a small board or an advisory board that brings outside experience. We help you choose the structure that suits your stage and set it up properly.
Can you act as our company secretary?
Yes. Public and state-owned companies must appoint a company secretary; private companies are not required to, but many find outsourced company secretarial support worthwhile. We handle resolutions, minutes, statutory registers and CIPC filings.
What is the board evaluation workshop for company secretaries?
A practical half-day workshop, online or in person, that takes company secretaries and governance professionals through planning, questionnaires, interviews, reporting and presenting a board evaluation. It is also available in-house. We share a training outline upfront and hold a check-in with the company secretary within a month.
Who arranges logistics for in-person training?
For in-person training more than 60 km from Johannesburg, the client arranges the facilitator’s logistics, such as travel and accommodation, and the training consumables.
